Affiliate Terms and Conditions
This Affiliate Partner Agreement (“Agreement”) establishes the official terms and conditions for your participation as an affiliate partner (“Affiliate”) of Vertim Coders, LLC (“Company”). By registering and promoting Vertim Coders, LLC as an Affiliate, you agree to comply with the terms and conditions outlined in this Agreement. We kindly request that you read this Agreement meticulously before proceeding.
Approval or Rejection of Application
The Company reserves the exclusive right to approve or reject any application for the Affiliate Program at its sole discretion. The decision to accept or reject an application is final, and no legal recourse can be pursued against the Company.
Affiliate Responsibilities
2.1 As an affiliate, you agree to promote our digital product in a lawful and ethical manner.
2.2 You are solely responsible for the content and methods used in your promotional activities, including but not limited to websites, social media accounts, and email marketing campaigns.
2.3 You agree not to engage in any deceptive, misleading, or unfair marketing practices that may harm our brand reputation or violate applicable laws or regulations.
Commission Structure
Commissions will be disbursed on a monthly basis. To qualify for a commission, the referred sale or subscription must be successfully completed and remain active for a minimum of 37 days. Self-referrals are strictly prohibited, and commissions will not be paid for personal purchases or subscriptions. Only one commission per referral is permissible. If a referral places multiple orders or subscriptions, the commission will be granted solely for the initial order or subscription. Payments will be made exclusively for completed and successful transactions. Transactions resulting in chargebacks or refunds will not qualify for commission payments.
Termination
The Company reserves the right to suspend or terminate an Affiliate’s application and status in the Program for various reasons, including but not limited to inappropriate advertisements containing false claims or misleading hyperlinks, engagement in spamming activities, advertising on sites that promote or engage in illegal activities, failure to disclose the affiliate relationship when endorsing Company products, violation of intellectual property rights, offering unauthorized incentives, self-referrals or fraudulent transactions, or any other violation of this Agreement or for reasons determined solely by the Company.
Affiliate Links
Affiliates may employ text and graphic links on their websites and in email messages to promote Vertim Coders, LLC. Affiliates are also permitted to advertise the Company’s site through online and offline classified ads, magazines, and newspapers. Affiliates can utilize the provided graphics and text or create their own promotional materials, provided they adhere to the conditions outlined in this Agreement.
Intellectual Property
5.1 You acknowledge that all intellectual property rights related to our digital product, including but not limited to trademarks, copyrights, and trade secrets, belong to us.
5.2 You are granted a non-exclusive, non-transferable, revocable license to use our promotional materials solely for the purpose of promoting our digital product as an affiliate.
Liability
The Company will not be held liable for indirect or incidental damages, including loss of revenue or commissions, arising from affiliate tracking failures, loss of database files, or any other consequences resulting from the Program’s operation or the operation of our websites. The Company does not provide any expressed or implied warranties regarding the Program or the Products sold by Vertim Coders, LLC. We do not guarantee error-free operation of the Program or our websites, and we will not be liable for any interruptions or errors.
Term of the Agreement
This Agreement becomes effective upon your acceptance into the Program and will remain in effect until your Affiliate account is terminated. The Company reserves the right to modify the terms and conditions of this Agreement at any time. If any modifications are unacceptable to you, your only recourse is to terminate your Affiliate account. Continued participation in the Program will indicate your acceptance of the changes.
Indemnification
The Affiliate agrees to indemnify and hold Vertim Coders, LLC and its affiliates, officers, directors, employees, licensees, successors and assigns harmless from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses, including reasonable legal fees, arising from Affiliate’s negligence, misrepresentation, failure to disclose, or intentional misconduct.
Governing Law, Jurisdiction, and Attorney Fees
This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Delaware. Any disputes arising under or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located within the State of Delaware. In the event of any legal action to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to recover reasonable attorney fees and costs.
